# DMCA and Content Policy

## 1. Overview
Auditions Manager, LLC ("Auditions Manager") respects intellectual property rights and expects users of our platform to do the same. This policy explains our process for handling copyright infringement claims under the **Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512**.
Auditions Manager hosts content uploaded by theater companies and actors, including headshots, resumes, and other audition materials. While we do not actively monitor or curate this content, we respond promptly to valid copyright infringement notices.

## 3. How to File a Copyright Takedown Notice
If you believe that content on the Auditions Manager platform infringes your copyright, please send a written notification to our DMCA Agent at **dmca@auditionsmanager.com** containing all of the following:
1. **Identification of the copyrighted work** claimed to be infringed (or, if multiple works are covered by a single notice, a representative list)
2. **Identification of the allegedly infringing material** — a specific URL or other description precise enough for us to locate the material on our platform
3. **Your contact information** — your full name, mailing address, telephone number, and email address
4. **A statement of good faith belief** — "I have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law"
5. **A statement of accuracy under penalty of perjury** — "The information in this notification is accurate, and, under penalty of perjury, I am the owner, or am authorized to act on behalf of the owner, of an exclusive right that is allegedly infringed"
6. **Your physical or electronic signature** (or the signature of the person authorized to act on behalf of the copyright owner)
Notices that are missing any of the above elements may be considered deficient and may not be acted upon until the missing information is provided.
**We will respond to valid notices within 48 business hours.**

## 4. Our Response Process
Upon receipt of a valid DMCA notice:
1. We will review the notice for completeness and compliance with DMCA requirements
2. If valid, we will act **expeditiously** to remove or disable access to the allegedly infringing content (typically within 48 business hours of verifying the notice)
3. We will notify the user who uploaded the content that it has been removed, and provide a copy of the notice (with your personal contact information redacted if you request)
4. We will inform the uploader of their right to file a counter-notification

## 5. Counter-Notification
If you believe that content you uploaded was removed or disabled due to mistake or misidentification, you may submit a counter-notification to our DMCA Agent at **dmca@auditionsmanager.com** containing all of the following:
1. **Your contact information** — your full name, mailing address, telephone number, and email address
2. **Identification of the removed material** — a description of the material that was removed and its location before removal (e.g., the URL where it appeared)
3. **A statement under penalty of perjury** — "I have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled"
4. **Consent to jurisdiction** — "I consent to the jurisdiction of the Federal District Court for the judicial district in which my address is located, or if my address is outside the United States, to the jurisdiction of any judicial district in which Auditions Manager may be found, and I will accept service of process from the person who provided the original takedown notice or their agent"
5. **Your physical or electronic signature**
Upon receipt of a valid counter-notification:
- We will provide a copy to the original complainant
- If the original complainant does not notify us within **10 business days** that they have filed a court action seeking to restrain the infringing activity, we will restore the removed content
- If the original complainant does file a court action, the content will remain down pending resolution of that action

## 6. Repeat Infringer Policy
In accordance with 17 U.S.C. § 512(i), Auditions Manager has adopted a policy of **terminating access** for users (including subscribing companies) who are determined to be **repeat infringers**. A "repeat infringer" is any company or user who has had content removed in response to two or more valid DMCA notices within a rolling 12-month period.
Auditions Manager reserves the right to terminate accounts and subscriptions of repeat infringers without refund.

## 7. Content Policy
In addition to DMCA compliance, we prohibit the following types of content on our platform:
- Content that infringes any copyright, trademark, trade secret, or other intellectual property right
- Content that is defamatory, harassing, or threatening toward any individual
- Sexually explicit or obscene content
- Content that depicts or promotes illegal activity
- Content that violates any individual's right to privacy (e.g., recordings made without consent)
- Content that impersonates any person or entity
Companies are responsible for the content uploaded through their audition portals and for ensuring that actors who submit content have the rights to do so and have consented to its use for audition purposes.
We reserve the right to remove any content that violates this Content Policy at our sole discretion, with or without notice to the uploader, and without liability to the uploader.

## 8. Abuse of the DMCA Process
Submitting a DMCA notice or counter-notification with materially false information is a federal crime that can result in civil and criminal penalties under 17 U.S.C. § 512(f). Auditions Manager reserves the right to seek damages from parties who abuse the DMCA process in bad faith.
